Merger activity in the UK legal sector is set to increase dramatically in the next few years and at Fox Rodney, we are extremely well placed to act for law firms seeking to engage in a pro-active merger process, as opposed to just being reactive to ad hoc approaches.
Our Mergers practice is spearheaded by Brandon Ransley who has first-hand experience of law firm mergers and acquisitions. As Managing Partner of the Milton Keynes office of Howes Percival, in 2008 he led negotiations with Dentons to transfer a 50 strong team from Howes Percival to Dentons, while maintaining the morale and loyalty of the team and also retaining its client base.
Then, as Managing Partner of Dentons UK (2010-2018), he led the successful merger with Scottish law firm Maclay Murray & Spens LLP (£43m revenue), as well as bringing in the banking litigation team from MAB Watford and recruiting other key teams.
Working with Brandon are Stephen Rodney and other Fox Rodney Search senior consultants who have experience of brokering law firm mergers.
Our Mergers team, once retained, will be able to provide commercial advice on and support with some or all of the following aspects of the mergers process:
-Early Stage Review – analysis of a client’s existing business, considering the strategic reasons for a possible merger and based on this, research on which firms should be on the consideration list.
-Introductions – agreeing on and then formulating the best method of approach to a prospective target firm or firms, leading to the initial approaches.
-Early Stage Discussions – advising on initial early discussions with the target firm and limited data exchanges.
-Detailed Discussions, Data Exchange and Negotiations – assist on the detailed discussions and negotiations and on further exchange of data.
-Heads of Terms – provide commercial input on the heads of terms and progress to signature.
-Conditional Contracts Signed and proposal announced to partners and subsequent partner votes

-Post Completion integration and support
